Beta Notice: Rectiva is currently in open Beta, operated as a one-person independent project. These Terms reflect Beta operating policy and will be updated with prior notification when the Service moves to general availability.
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Rectiva service ("Service"), an AI-powered brand content creation and review SaaS platform operated by Rectiva ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

3. Definitions
- Service: the Rectiva web service and all related functionality.
- User: any natural or legal person who uses the Service.
- Account: a registered user profile required to access certain Service features.
- Company / Workspace: an isolated operational space for a User's organization. Data within a workspace (templates, assets, rules, content logs, etc.) is segregated from other workspaces.
- Role: a permission tier within a workspace. The Service uses a three-tier role model: Super Admin (workspace administrator), Regional Admin (country-scoped administrator), and Editor (content creator).
- Country: the operational unit within a workspace. Each member's data access and management scope may be limited by their assigned country.
- Template: a content layout defined by a Super Admin based on brand guidelines.
- Asset: brand materials (images, logos, text, etc.) approved within a workspace.
- AI Rule: a verification rule defined by a Super Admin based on brand guidelines, with an enforcement type of either Block or Warning.
- AI Review: a feature that automatically evaluates User Content against active AI Rules using the Service's AI model, returning a result of Block, Warning, or Passed.
- Compliance Score: a score computed from AI Review results on a 100-point deduction basis.
- Auto-fix: a feature that automatically applies suggested corrections for deterministic rule violations.
- Export: a feature that exports the final result in channel-specific formats (Instagram, Facebook, X, YouTube, LinkedIn, TikTok, and similar).
- User Content: any template, asset, AI Rule, image, metadata, exported output, or other material uploaded, configured, or generated by a User through the Service.
4. Acceptance and Changes
- By creating an Account or using the Service, you confirm that you have read, understood, and agreed to these Terms.
- We may modify these Terms from time to time. We will notify Users of material changes at least 30 days in advance via email and in-product notice. Continued use of the Service after the effective date of the changes constitutes acceptance.
- If you do not agree to the modified Terms, you must stop using the Service and may close your Account.
5. Eligibility
- You must be at least 16 years old to create an Account. We do not knowingly permit access to individuals under this age.
- You represent that you have the legal capacity to enter into these Terms in your jurisdiction.
- We reserve the right to refuse, suspend, or terminate access for any User who does not meet the eligibility requirements.
6. Account Registration
- To use certain features of the Service, you must register for an Account by providing accurate and complete information.
- You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
- You must notify us promptly at contact@rectiva.io of any unauthorized use of your Account.
- We may refuse registration or suspend an Account at our reasonable discretion, including in cases of suspected fraud, abuse, or violation of these Terms.
7. User Obligations
You agree not to:
- Submit false or misleading registration information, or impersonate any person.
- Upload, transmit, or distribute any content that infringes the intellectual property rights, privacy rights, or other rights of any third party.
- Use the Service to upload, transmit, or distribute content that is unlawful, obscene, defamatory, harassing, hateful, or otherwise objectionable.
- Attempt to circumvent, manipulate, or defeat the Automated Review system or any other security or moderation mechanism.
- Use the Service to transmit malware, spam, or other harmful code.
- Use the Service in a manner that disrupts, damages, or impairs its operation, or that imposes a disproportionate load on our infrastructure.
- Use the Service in violation of applicable export controls, sanctions, or other laws of your jurisdiction.
8. Service Features and Automated Review
8.1 Functional Scope
The Service is provided as a multi-tenant SaaS platform and includes, without limitation, the following functions:
- Workspace management — creation of isolated workspaces, registration of operating countries, and email-based invitation of members.
- Role and permission management — three-tier roles (Super Admin / Regional Admin / Editor) with country-scoped access control.
- Template management — creation, editing, and removal of brand-guideline-based content templates.
- Asset library — registration, categorization, and management of approved brand assets.
- AI Rule management — definition of brand-guideline-based verification rules with Block or Warning enforcement types.
- Typography profiles — per-country font, letter-spacing, and line-height profiles applied automatically to templates.
- Template editor — canvas-based image editing with channel-specific size presets.
- AI Review — automated evaluation of User Content against active AI Rules.
- Auto-fix — automated correction of deterministic rule violations.
- Compliance Score — 100-point deduction-based scoring of AI Review outcomes.
- Export — channel-formatted output (Instagram, Facebook, X, YouTube, LinkedIn, TikTok, and similar). Export is blocked when one or more Block-level violations are present.
- Content Logs — history of work, AI Review results, and Export records, with aggregated statistics.
- Test Simulation — pre-validation of AI Rule accuracy.
Data in each workspace is logically isolated from other workspaces.
The Service does not support real-time collaborative editing of the same project. If multiple users edit the same content, the most recently saved version may take precedence (Last Write Wins). We are not liable for unintended data loss resulting from concurrent edits.
8.2 Automated Review and Outcomes
- The AI Review evaluates User Content against AI Rules configured by the Super Admin and returns one of the following outcomes:
- Block: a critical violation. Export of the affected content is prevented.
- Warning: a non-critical violation. Export is permitted, and the event is recorded in Content Logs.
- Passed: no violation detected.
- Outcomes contribute to the Compliance Score (100-point deduction basis), which workspace administrators may review through Content Logs.
- Where Auto-fix is enabled for a rule, the Service may automatically apply a deterministic correction. Users may review and revert such corrections manually.
- The final decision regarding any User Content rests with the relevant Workspace Administrator. The AI Review is provided as a supporting tool. We do not warrant that AI Review outcomes will be free from error, and we do not assume responsibility for decisions taken in reliance on them.
- You have the right to:
- Request information about how the AI Review evaluates submissions and which AI Rules are active
- Contest an outcome via contact@rectiva.io
- Obtain human review by the Operator
- Object to automated processing — noting that doing so may restrict access to features that depend on AI Review (such as Export)
- Additional rights regarding the automated processing of personal data are described in our Privacy Notice (Section 9).
9. Intellectual Property
9.1 Your Content
You (or the Company to which you belong) retain all ownership and intellectual property rights in your User Content, including templates, assets, AI Rules, exported outputs, and metadata you create or upload through the Service. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (only as necessary for technical processing such as resizing, format conversion, and automated analysis), and display the User Content solely for the purpose of operating and improving the Service. This license terminates when your User Content is deleted or your Account is closed, subject to retention of backup and log data required by applicable law.
9.2 Our Service
The Service, including its software, design, trademarks, and all related content (excluding User Content), is owned by or licensed to us and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
9.3 Your Representations
You represent that you have all necessary rights to the User Content you submit and that such content does not violate any third-party rights or applicable law.
10. Service Provision and Beta Status
- During the Beta period, the Service is provided free of charge. If the Service transitions to a paid model, we will notify Users at least 30 days in advance and obtain any required consent.
- We may modify, suspend, or discontinue any aspect of the Service at our discretion. Where such changes materially affect User rights or available functionality, we will provide reasonable advance notice.
- We do not guarantee preservation of User Content or other data generated during the Beta period through to general availability. We will make reasonable efforts to support migration but provide no warranty.
11. Geographical Service Limitations
- Service availability is determined at our discretion.
- Pursuant to applicable laws, access to the Service may be restricted in certain countries or regions.
- You are responsible for compliance with the laws of your country of residence. We accept no responsibility for use of the Service from any jurisdiction where such use is prohibited.
12. Termination
12.1 By You
You may terminate these Terms at any time by closing your Account through the in-Service deletion function. Termination is effective immediately upon completion of the deletion process.
12.2 By Us
We may suspend or terminate your access to the Service if:
- You materially breach these Terms and, where remediable, fail to cure the breach within a reasonable period after notice;
- You engage in activity that we reasonably believe is fraudulent, abusive, or unlawful;
- We are required to do so by law or by order of a competent authority;
- We discontinue the Service.
Where the suspension or termination is not based on serious breach, we will provide at least 30 days' prior notice and an opportunity to respond.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases. Personal data is handled in accordance with our Privacy Notice. Provisions that by their nature should survive termination will do so (including intellectual property, liability, and dispute resolution).
13. Right of Withdrawal (EU Consumers)
If you are a consumer residing in the European Union and the Service is provided to you in exchange for payment, you have the right to withdraw from the contract within 14 days from the date of conclusion, without giving any reason, in accordance with the Consumer Rights Directive (Directive 2011/83/EU).
To exercise the right of withdrawal, you must inform us at contact@rectiva.io with a clear statement of your decision to withdraw. To meet the withdrawal deadline, it is sufficient to send your communication concerning the exercise of the right before the withdrawal period expires.
If the Service has begun (with your prior express consent) during the withdrawal period, you may be liable to pay a proportionate amount for the part of the Service provided up to the point of withdrawal.
Note: As the Service is currently free during Beta, this right does not have practical effect. This clause will apply if and when paid plans are introduced.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of the Automated Review.
Nothing in these Terms limits or excludes any warranty or remedy that cannot be limited or excluded under applicable mandatory law (including consumer protection law).
15. Limitation of Liability
To the maximum extent permitted by applicable law:
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.
- Our aggregate liability arising out of or in connection with these Terms or the Service will not exceed the greater of (a) the amount paid by you for the Service in the twelve months preceding the event giving rise to liability, or (b) one hundred euros (€100).
- Nothing in this Section limits or excludes liability for gross negligence, willful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be limited or excluded under applicable law.
16. Content Moderation and Reporting (DSA)
To the extent applicable under the EU Digital Services Act (Regulation (EU) 2022/2065):
- Users may report illegal content present on the Service by contacting contact@rectiva.io. Notices should include sufficient information to identify the content and the basis for the claim.
- Upon receipt of a valid notice, we will act with due diligence to assess the report. Where appropriate, we will provide a statement of reasons for any action taken to the affected User.
- Users whose content has been moderated may submit a complaint via contact@rectiva.io. We will review such complaints in good faith and respond within a reasonable period.
- EU consumers may use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr to resolve disputes.
17. Governing Law and Jurisdiction
- These Terms are governed by the laws of the Republic of Korea, without regard to its conflict-of-laws principles.
- Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of Korea, except where mandatory consumer protection law provides otherwise.
- EU consumers retain the protections of mandatory consumer law of their country of habitual residence, including the right to bring proceedings before the courts of that country pursuant to Article 18 of Regulation (EU) No 1215/2012 (Brussels I bis).
- EU consumers may also use the ODR platform referenced in Section 16.
18. Miscellaneous
- Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No waiver: our failure to enforce any right or provision will not constitute a waiver of such right or provision.
- Assignment: you may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Entire agreement: these Terms, together with the Privacy Notice and any additional terms applicable to specific features, constitute the entire agreement between you and us regarding the Service.
